By signing below, you acknowledge and agree that you have sought and may accept certain services (collectively, the "Services") provided by R2R, LLC, a Nevada limited liability company, d/b/a KW Realty and/or Rent to Retirement ("R2R"). The Services may include, but are not limited to: (i) access to R2R’s website (the “Website”), which, among other things, includes a webpage with real estate listings of homes (each, a “Home”) for sale (the “Marketplace”); (ii) referrals or introductions (each, a “Referral”) to third parties (“Third Parties”), including, without limitation, lenders, insurance agents, attorneys, certified public accountants, real estate brokers and agents, financial advisors, title companies, property inspectors, property management companies and contractors, who may assist you with your real estate and other investment goals (collectively, “Investment Objectives”); and (iii) access to other information and recourses relating to your Investment Objectives and real estate investment generally.

By accepting the Services and by signing below, you hereby acknowledge and agree with our privacy policy and the following:

I. NO REPRESENTATIONS OR WARRANTIES; WAIVER; INDEMNIFICATION. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, IN ADDITION TO THE OTHER DISCLAIMERS SET FORTH HEREIN, R2R MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND IN CONNECTION WITH THE WEBSITE, PROVISION OF THE SERVICES OR ANY SALE OR POTENTIAL SALE OF A HOME (EACH, A “TRANSACTION”). BY SIGNING BELOW, YOU WAIVE YOUR RIGHT TO RECOVER FROM, AND FOREVER RELEASE AND DISCHARGE, R2R AND ITS AFFILIATES, PARENT AND SUBSIDIARY ENTITIES, SUCCESSORS, ASSIGNS, PARTNERS, MANAGERS, MEMBERS, EMPLOYEES, OFFICERS, DIRECTORS, TRUSTEES, SHAREHOLDERS, COUNSEL, REPRESENTATIVES AND AGENTS (COLLECTIVELY, THE “R2R PARTIES”) FROM ANY AND ALL DEMANDS, CLAIMS (INCLUDING, WITHOUT LIMITATION, CAUSES OF ACTION IN TORT), LEGAL OR ADMINISTRATIVE PROCEEDINGS, LOSSES, LIABILITIES, DAMAGES, PENALTIES, FINES, LIENS, JUDGMENTS, COSTS OR EXPENSES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES AND COSTS), WHETHER DIRECT OR INDIRECT, KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN (COLLECTIVELY, “CLAIMS”), THAT MAY ARISE ON ACCOUNT OF OR IN ANY WAY BE CONNECTED WITH THE WEBSITE, SERVICES AND ANY TRANSACTION. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS R2R AND THE R2R PARTIES FROM ANY CLAIMS ARISING FROM YOUR USE OF THE WEBSITE OR SERVICES AND ANY TRANSACTION.

II. SCOPE OF SERVICES

A. NO PROFESSIONAL ADVICE. You acknowledge and agree that the provision of the Services by R2R shall not be interpreted or construed as R2R providing you any real estate, legal, financial, tax, or other professional advice (collectively, “Professional Advice”). You agree: (i) to seek any and all Professional Advice from parties other than R2R; and (ii) that R2R shall have no liability for any Professional Advice provided in connection with your Investment Objectives or otherwise.

B. NO AGENCY. You acknowledge and agree that the provision of the Services by R2R shall not be interpreted or construed as creating any agency, partnership, joint venture, or any fiduciary or special relationship between you and R2R.

C. NO BROKERAGE OR OTHER REAL ESTATE RELATIONSHIP. You acknowledge and agree that: (i) R2R is not acting as a licensed real estate broker or agent (a “Broker”) on your behalf in its provision of the Services (or on behalf of any party to a Transaction); (ii) it is your sole responsibility to engage a Broker to represent you in connection with any Transaction; and (iii) R2R is not acting as an appraiser, contractor, surveyor, title insurer, or mortgage broker in connection with the provision of the Services or any Transaction.

D. NO LIABILITY FOR UNAVAILABILITY OF OR MODIFICATIONS TO THE WEBSITE AND/OR SERVICES. You acknowledge and agree that: (i) the Website (including, without limitation, the Marketplace) and the Services may be unavailable or modified from time to time for reasons including, but not limited to, technical failures or interruptions, intentional downtime for service or changes to the Website; (ii) R2R shall not be liable to you or any other party in connection with any unavailability or modifications to the Website and/or Services (including, without limitation, any loss of use, revenue, or profit or diminution in value, or for any consequential, incidental, indirect, exemplary, special, or punitive damages whether arising out of unavailability of or modifications to the Website and/or Services, breach of contract, tort (including negligence), or otherwise, regardless of whether such damage was foreseeable and whether or not R2R has been advised of the possibility of such damages, and notwithstanding the failure of any agreed or other remedy of its essential purpose).

E. FEES PAID TO R2R. You acknowledge and agree that: (i) R2R may be paid certain fees (collectively, “Fees”) in connection with Referrals and/or Transaction; and (ii) the payment of any Fee to R2R does not, in any way, modify the terms and conditions hereof.

III. THIRD PARTIES

A. NO AFFILIATION WITH THIRD PARTIES. You acknowledge and agree, in connection with any Referral or otherwise: (i) that R2R is an independent company and is not and shall not be construed to be an agent, employee, or principal of, or affiliated in any way with any Third Party; (ii) R2R has no authority to make any statement for or bind any Third Party in any way; and (iii) R2R is not responsibility for the acts or omissions of any Third Party.

B. NO OBLIGATION. You acknowledge and agree that R2R is not obligated to make any Referral for you to Third Parties.

C. NO REPRESENTATIONS AND WARRANTIES. You acknowledge and agree that any Referral R2R makes for you to a Third Party does not, in any way, constitute an endorsement or recommendation of that Third Party or any actions or services that Third Party may perform for you or on your behalf (collectively, “Third Party Actions”). Additionally, R2R makes no representations or warranties of any kind, expressed or implied, that the Referral and/or any Third Party Actions is suitable or will help achieve your Investment Objectives. You acknowledge and agree that you are solely responsible for independently verifying any advice or recommendations of R2R and any Third Party with appropriate real estate, legal, financial, or tax professionals, and you are solely responsible for conducting appropriate due diligence with respect to any Referral.

D. INDEMNIFICATION. You agree to indemnify, defend and hold harmless R2R and the R2R Parties from any damages, liability, and losses arising from any Referral and Third Party Actions.

IV. INVESTMENT DISCLAIMER. You acknowledge and agree that any investment, including in connection with any Transaction, is not guaranteed and involves significant risks, including potential loss of principal (i.e., that your Investment Objectives may not be achieved). The provision of the Services and all statements made by R2R and the R2R Parties to you are expressions of opinion only and none of the same shall be interpreted as constituting a representation or guarantee of investment results or achieving your Investment Objectives. You acknowledge and agree that you are solely responsible for appropriate due diligence and retaining appropriate professionals to assist you with your Investment Objectives, including with respect to legal, tax, regulatory, financial issues and other relevant matters. No statement by R2R and the R2R Parties shall be construed as legal, tax, investment or other advice. Without limiting the foregoing, you acknowledge and agree that neither R2R nor the R2R Parties have made any representations or warranties of any type whatsoever, express or implied, that implementing any or all elements of the strategies provided in connection with the Services will achieve any specific results for you (including your Investment Objectives), and all such representations or warranties are expressly disclaimed. Neither R2R nor the R2R Parties is making any representation to you regarding the legality of an investment, including in connection with any Transaction, or about the income or other tax consequences to you of such an investment. Unless otherwise stated, certain information concerning economic trends and performance is based on or derived from information provided by independent third-party sources, the identities of which are available to prospective investors upon request. R2R and the R2R Parties believe that such information is accurate and that the sources from which it has been obtained are reliable; however, they do not assume any responsibility for the accuracy of such information and have not independently verified the accuracy or completeness of such information or the assumptions on which such information is based. Moreover, independent third-party sources cited are not making any representations or warranties regarding any information attributed to them and shall have no liability to any investor in connection with the use of such information.

V. PROPERTY DISCLAIMER. You acknowledge and agree that R2R and the R2R Parties do not make and have not made any representations or warranties as to (i) the condition or state of repair of any Home; (ii) the compliance or non-compliance of any Home with any applicable laws, regulations or ordinances (including, without limitation, any applicable zoning, building or development codes); (iii) the value, expense of operation, or income potential of any Home; (iv) any other fact or condition which has or might affect any Home or the condition, state of repair, compliance, value, expense of operation or income potential of any Home; (v) whether any Home contains asbestos or harmful or toxic substances or pertaining to the extent, location or nature of same; (vi) the availability of any Home listed on the Marketplace; or (vii) the accuracy or completeness of any listing on the Marketplace. In the event you elect to proceed with a Transaction (regardless of whether the listing of the Home purchased as part of such Transaction was listed on the Marketplace), you acknowledge and agree that you are solely responsible for appropriate due diligence, investigations and retaining appropriate professionals to assist you with any Transaction, including, without limitation, any services requiring a Broker.

VI. R2R and Affiliates. By engaging with R2R, LLC and its affiliates for any services related to property purchase, management, or sale, the undersigned agrees to release, indemnify, and hold harmless R2R, LLC, its officers, employees, agents, and affiliates from any claims, liabilities, costs, or expenses, including legal fees, arising from services provided, including but not limited to property conditions, inspections, financing, tax implications, management, or market fluctuations.

The undersigned further acknowledges that R2R, LLC and its affiliates are not liable for any damages—direct, indirect, incidental, or consequential—arising from their services, even if previously advised of potential damages.

This release applies to all transactions, past, present, and future, to the fullest extent permitted by law.
